Terms governing your use of audioforgeai.pro and studio services provided by AudioForge AI Studio Inc.

1. Agreement
These Terms of Service ("Terms") form a binding agreement between you ("you," "client," or "visitor") and AudioForge AI Studio Inc., a corporation incorporated in Ontario, Canada, with its studio at 76 Ossington Avenue, Suite 103, Toronto, ON M6J 2Y7. By accessing audioforgeai.pro or engaging our services, you agree to these Terms. If you do not agree, do not use the website or submit project materials.
Project-specific statements of work, master service agreements, or purchase orders may supplement these Terms. Where they conflict on production matters, the signed project document prevails.
2. What AudioForge AI is — and is not
AudioForge AI is an AI voice and audio finishing studio — a professional creative services firm. We cast, temper, and master AI-assisted voice and audio deliverables for client organizations, including text-to-speech production, neural voice design, dubbing, localization, sound design, mixing, and mastering with human review.
The domain audioforgeai.pro uses the .pro TLD for branding only. "Audio" refers to voice and sound output for client brands — not an audio-hardware brand, speaker label, or record label. "Forge" refers to crafting and finishing voices and audio in a studio — not metalwork, a code forge, or forgery. "AI" means production assisted by generative models with human oversight and consent.
AudioForge AI is not a self-serve text-to-speech application, SaaS subscription, API product, stock-audio marketplace, AI-audio course, clone-anyone tool, hardware reseller, record label, or impersonation service. Access to the website does not grant a software licence to generate audio independently.
3. Website use
You may browse the website for lawful purposes. You must not attempt to disrupt site security, scrape content for republication without permission, introduce malware, or use automated tools to overwhelm our infrastructure. Content on the site is protected by copyright and may not be copied except as permitted by law or with our written consent.
Illustrative project descriptions and samples demonstrate craft and process; they are not guarantees that your project will achieve specific commercial, technical, or creative outcomes.
4. Studio services and AI-audio disclaimer
Our studio provides professional AI voice and audio consulting, creative direction and production services, including text-to-speech and neural voice design, consent-based brand voices, dubbing and localization, sound design, mixing, mastering and related audio-AI delivery for client organizations. We do not guarantee specific business outcomes, revenue, cost savings, that a synthetic voice will be indistinguishable, error-free, correctly pronounced or legally clear for every use.
AI voice and audio models can produce inaccurate, off-brand, mispronounced or inappropriate output and require human review and oversight. Synthetic voices are built on consent and appropriate rights; we do not create deceptive impersonations. Results depend on many factors outside our control, including script quality, references, scope, budget and how audio is used.
Any case studies, metrics or figures shown reflect past client work and are not a promise of future performance. This is a professional audio-AI services firm — not a course, not an income opportunity, not a voice-impersonation service, and not financial, legal or investment advice. Clients are responsible for final usage clearance and for confirming consent on any voice or reference material they supply.
5. Client responsibilities
When you submit scripts, briefs, or reference audio, you represent that you have the right to provide them and that the requested production is lawful. You will not ask us to imitate identifiable individuals without documented consent, fabricate statements attributed to real people, or deploy deliverables in ways that violate agreed licensing terms.
You are responsible for accurate project specifications — languages, durations, channels, and deadlines — so we can quote CAD fees and turnaround honestly. Delayed feedback may shift delivery dates and incur additional revision-round fees if scoped.
6. Fees, payment, and taxes
Fees are quoted in Canadian dollars unless otherwise stated. Invoices are due per agreed payment terms. Applicable federal and provincial taxes may apply. Late payments may pause work and attract interest as permitted by contract and law. Retainer balances and unused hours are handled per the retainer agreement.
7. Usage rights and licensing
Unless a statement of work states otherwise, clients receive the usage rights described in their project documentation — typically covering specified channels, territories, and durations. Custom neural voices and consented voice cloning may include additional restrictions tied to talent agreements.
AudioForge AI retains rights to pre-existing tools, methods, generic know-how, and studio processes. We may showcase anonymised work in portfolios only with permission or where already public at client's direction.
8. Revisions and acceptance
Standard project scope includes the revision rounds stated in your quote. Additional rounds or material script changes may be billed separately. Deemed acceptance may occur if feedback is not provided within the review window specified in your statement of work.
9. Confidentiality
We treat client materials as confidential within the studio team and approved sub-processors. Mutual confidentiality terms in project agreements apply to sensitive scripts and unreleased products. You agree not to publicly misrepresent our relationship or imply endorsements we have not granted.
10. Prohibited requests
We may refuse or terminate engagements that request:
- Voice cloning or impersonation of real persons without written consent;
- Deceptive audio presented as a genuine statement by a real individual;
- Fraudulent, scam, or unlawful content;
- Explicit sexual content involving minors or non-consensual scenarios;
- Projects primarily intended to evade platform policies or mislead consumers;
- Resale of our deliverables as a standalone impersonation or deepfake service.
Refusal is not a waiver of our right to invoice work completed before refusal where permitted by contract.
11. Warranties and limitation of liability
Except as expressly stated in a signed project document, services are provided "as is" to the extent permitted by Ontario law. We do not warrant uninterrupted website availability or that generative-AI tools will be error-free.
To the maximum extent permitted by law, AudioForge AI Studio Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data arising from website use or studio services. Our aggregate liability for any claim relating to a specific project is limited to the fees paid for that project in the twelve months preceding the claim, except where limitation is prohibited by law.
These limitations do not exclude liability for gross negligence or fraud where exclusion is unlawful.
12. Indemnity
You agree to indemnify and hold harmless AudioForge AI Studio Inc. and its personnel from claims arising out of materials you supply, your instructions that violate these Terms, or your use of deliverables beyond licensed scope — except to the extent caused by our breach of agreed obligations.
13. Privacy
Personal information is handled under our Privacy Policy, which complies with PIPEDA. Contact forms require express consent before submission.
14. Third-party tools
Production may involve third-party speech synthesis, hosting, or collaboration tools. Those providers operate under their own terms. We select vendors with reasonable privacy and security practices but do not control third-party services entirely. We do not resell third-party DAW or audio-hardware licences as our primary business.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The courts of Ontario sit in Toronto for disputes that cannot be resolved through good-faith negotiation, except where consumer protection laws grant you non-waivable rights in another forum.
16. Changes
We may update these Terms by posting a revised version with a new "Last updated" date. Material changes affecting active engagements will be communicated where practical. Continued website use after changes constitutes acceptance of updated Terms for browsing; production work remains under the Terms in effect when the project was booked unless both parties agree otherwise.
